Nuub Pulse subscription terms
The terms for the Nuub Pulse monthly business subscription: what is included, what is explicitly not included, renewal and cancellation, what happens if a payment fails, and how your information is treated.

Version in force
This is version 2.0 of nuub pulse subscription terms. The version that governs a signed engagement is the one in force on the day it was signed, and every acceptance is recorded against its exact text.
Who you are contracting with
In this document "Nuub" means Nuub Limited (company number 17414025), registered office The Future Works, 2 Brunel Way, Slough, SL1 1FQ, United Kingdom, trading as Nuub.

These are business-to-business terms, governed by the law of England and Wales. If you are buying wholly or mainly outside a trade, business, craft or profession, contact Nuub before purchasing, because different rights apply.
What you are buying
A monthly business-to-business subscription to Nuub Pulse. Each month you record a short set of figures and answers about your business, and Pulse returns your standing, what moved since last month, and a small number of actions to focus on. Your first month opens as soon as your baseline Constraint Check is in place. Pulse is sold for business use only and is not offered to consumers.
No executive time is included
Pulse is a product, not an engagement. It does not include a named executive, advisory sessions, delivery work or a routine review of your figures by a Nuub executive. If you want human input, that is bought separately and quoted before it starts.
Your figures are yours
The figures and answers you enter are taken substantially as supplied. Nuub does not audit, verify or independently confirm them, and your standing, trend and actions are only as accurate as what you enter. Pulse is a management signal and decision support. It is not regulated financial, legal, tax or investment advice, and no particular business outcome is guaranteed.
You need a baseline
Pulse measures change, so it starts from a completed Nuub Constraint Check belonging to your workspace. If you do not have a recent one, you will be asked to complete it — it is free and takes a few minutes — before your first month opens.
What happens if you skip a month
Nothing is lost. A month with no entry is recorded as a gap rather than as a change, and your next entry is compared to the last month you completed. Pulse never invents a figure you did not give it.
Renewal and cancelling
The subscription renews monthly until you cancel. You can cancel at any time from your billing settings. There is no minimum term and no notice period. Cancellation takes effect at the end of the month you have already paid for, and you keep full access until then. Part months are not refunded.
If a payment fails
We will tell you and allow 7 calendar days for the payment to be resolved, during which your Pulse access continues. If the payment is still outstanding after that, Pulse access may be paused until payment is recovered. Your programme and history are preserved, subject to our retention policy, and access to the same programme resumes when payment succeeds. Nothing is deleted because a payment failed.
Your history
Your monthly entries, standing and briefs remain available to your workspace for as long as your subscription is active, and for a reasonable period afterwards so you can export them, in line with the retention periods in the privacy notice. You can ask us to delete them at any time.
How Nuub OS is used
Your standing, trend and movement are calculated by fixed rules, not by a model. AI is used only to put your own results into plain words, within limits set by Nuub. It is not given figures you did not supply, it cannot change a score, and your data is not used to train external models.
Payment and VAT
£199 per month, billed monthly in advance by card. Nuub Limited is not currently VAT registered, so no VAT is charged on this fee.
Your data and who processes it
The figures, answers and workspace records you enter into Pulse are processed by Nuub to operate the subscription and to produce your monthly results. Nuub acts as processor for that content on the instructions in the data processing addendum, which applies to Pulse in full.
Pulse data is held within the Nuub platform and is visible only to members of your own workspace and to Nuub staff who need it to run the service. It is not shared with the Nuub executive network, and it is not pooled with another client's data in any output shown to that client.
Where results are put into plain words using AI, only your own results and the wording limits set by Nuub are sent. Your data is not used to train external models, and the AI provider is engaged under contractual restrictions that prohibit training on it.
What each side owns
You own the information you supply and the business records it comes from. You grant Nuub the rights needed to host and process that information to run the service for you.
Nuub owns the Nuub platform, the Nuub method, the questions, the scoring rules and the templates behind Pulse. Nothing in these terms transfers that to you.
The outputs produced for you — your standing, your movement, your priorities and your monthly brief — are yours to use inside your business, with your advisers, investors and lenders. You may not resell them or present them as an independent audit or certification.
Confidentiality
Each side keeps the other's confidential information confidential, uses it only for the purposes of the subscription, and protects it with the same care it applies to its own. This does not cover information that is public through no fault of the receiving party, was already known, is independently developed, or must be disclosed by law.
Availability and support
Nuub aims to keep Pulse available and to give reasonable notice of planned maintenance, but it does not guarantee uninterrupted availability and Pulse carries no uptime service level. Support is by email during UK business hours.
Nuub may improve, change or replace parts of Pulse. Where a change materially reduces what the subscription does, you will be told before it applies to your next renewal and you can cancel before it takes effect.
Suspension and ending the subscription
Nuub may suspend access where payment is outstanding after the grace period described above, where the law requires it, or where use of the service threatens the security or integrity of the platform or another client. Suspension is limited to what is reasonably necessary and access is restored once the cause is resolved.
Either side may end the subscription: you at any time from billing settings, and Nuub on thirty days' notice or immediately for a material breach that is not put right within fourteen days of being notified. On ending, your access continues to the end of the paid period and your data is handled in line with the retention periods in the privacy notice.
Events outside reasonable control
Neither side is liable for a failure caused by something outside its reasonable control, including infrastructure or communications failure, the failure of a third-party provider, industrial action, fire, flood, epidemic or government action. Where such an event continues for more than thirty days, either side may end the subscription and you are refunded any period paid for but not delivered.
Liability
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded under the law of England and Wales.
Pulse is decision support. Neither side is liable to the other for loss of profit, loss of revenue, loss of anticipated savings, loss of business opportunity, or indirect or consequential loss, however arising.
Subject to the paragraph above, each side's total liability arising out of or in connection with the subscription in any twelve-month period is limited to the subscription fees paid by you in that period. This reflects that Pulse is a low-cost monthly product that does not include professional advice; where you need advice you can rely on, buy it separately.
Changes and governing law
These terms are versioned. If they change materially, we will tell you before the change applies to your next renewal, and you can cancel before it takes effect.
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, consistent with the Nuub client terms of engagement.
Decision support, not regulated advice
Scores, constraint estimates, forecasts and benchmarks are business decision-support tools. They are based on the information supplied and the assumptions described in the output, and they are not audited financial results or guarantees of performance.
Nothing produced through the platform is legal, tax, audit, regulated investment or other regulated professional advice unless it is separately provided by an appropriately authorised professional.
The organisation remains responsible for its own decisions, implementation choices and business outcomes.
