Fractional appointment terms
Additional terms for ongoing COO, CFO, NED and Chair appointments placed and administered by Nuub.

Version in force
This is version 2.0 of fractional appointment terms. The version that governs a signed engagement is the one in force on the day it was signed, and every acceptance is recorded against its exact text.
Who you are contracting with
In this document "Nuub" means Nuub Limited (company number 12345678), registered office The Future Works, 2 Brunel Way, Slough, SL1 1FQ, United Kingdom, trading as Nuub.

These are business-to-business terms, governed by the law of England and Wales. If you are buying wholly or mainly outside a trade, business, craft or profession, contact Nuub before purchasing, because different rights apply.
Shape of the appointment
A fractional appointment is an ongoing commitment of a defined number of days per month for a defined term, with a defined notice period, set out in the engagement terms you sign in the platform.
Days not used in a month may be carried forward one month only, by agreement, and are not refundable.
Fees and share
The client pays one agreed day rate. Of that fee the executive receives 70% and Nuub 30% during the first 12 months of the appointment, moving to 80% and 20% thereafter.
Where the executive introduced the client and the referral was registered before contracting, the split is 80% to the executive and 20% to Nuub for the life of the appointment.
Nuub's share covers origination, contracting, the Nuub Method operating system, assurance, invoicing, collection, cover arrangements and dispute support.
Directors and statutory roles
Where an appointment involves a statutory directorship, the executive accepts that office personally, is bound by their duties under the Companies Act 2006, and must be covered by the client's directors' and officers' insurance.
Nuub is not a party to the statutory office and gives no warranty as to board decisions taken by the client.
Continuity and cover
If the appointed executive becomes unavailable, Nuub will propose a matched replacement within ten working days and manage a documented handover. This continuity is a principal reason for appointing through the platform rather than directly.
Notice and extension
Either party may end the appointment on the notice stated in the engagement terms, which is never less than thirty days. Fees are payable through the notice period.
Appointments renew for successive terms unless notice is given, and the applicable split is recalculated automatically at each anniversary.
Governing law and disputes
This agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
Before issuing proceedings the parties will escalate in good faith: first to the engagement lead, then to a director of Nuub, then to mediation under the CEDR Model Mediation Procedure.
